Terms of Service

These Terms of Service (“Terms”) govern your use of the ShopFlow Auto platform operated by Beckham Enterprises (“ShopFlow Auto”, “we”, “our”). By accessing or using the service, you agree to these Terms.

1. Service

ShopFlow Auto provides a cloud-based shop management platform for independent auto repair shops, including digital vehicle inspections, estimates, customer approvals, work orders, invoicing, and transactional notifications.

2. Accounts

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us immediately of unauthorized use. Accounts are intended for bona-fide auto repair shops and their authorized staff.

3. Acceptable use

You agree not to (a) use the service for marketing, promotional, or unsolicited messaging; (b) upload unlawful, harassing, or infringing content; (c) attempt to probe, scan, or test the vulnerability of the service or bypass rate limits; (d) resell or white-label the service without a written agreement.

4. SMS and consent

If you use the platform to send SMS to end-customers, you must comply with our SMS Consent & Opt-In Policy, applicable laws (including the TCPA and state equivalents), and carrier rules. You represent that each SMS recipient has provided valid opt-in consent. You are solely responsible for content and compliance of messages you send.

5. Customer data

You retain ownership of data you enter into the platform. You grant ShopFlow Auto a limited license to process that data solely to deliver the service. We act as a data processor under your instructions; see our Privacy Policy for details.

6. Fees and billing

Subscription fees, billing cycle, and any usage-based charges are as stated at sign-up or in a separate order form. Fees are non-refundable except as required by law. We may change fees with at least 30 days' notice.

7. Termination

Either party may terminate with 30 days' notice. We may suspend or terminate immediately for material breach (including misuse of SMS or security issues). On termination, you may export your data for a reasonable period; thereafter we may delete it in accordance with our retention policy.

8. Warranties and disclaimer

We provide the service with commercially reasonable skill and care. To the fullest extent permitted by law, the service is provided “AS IS” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

To the fullest extent permitted by law, ShopFlow Auto's aggregate liability for any claim arising out of or related to these Terms or the service is limited to the amount you paid to ShopFlow Auto in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

10. Indemnification

You agree to indemnify and hold harmless ShopFlow Auto from any claim arising out of your use of the service in violation of these Terms or applicable law, including SMS consent or content violations.

11. Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Exclusive venue for disputes lies in the state and federal courts located in Solano County, California.

12. Changes

We may update these Terms from time to time. We will post the updated version with a revised “Last updated” date and, for material changes, provide additional notice.
